1. Introduction

Welcome to NextIn! These Terms of Service ("Terms") govern your access to and use of the NextIn platform, website, and services provided by NextIn Limited ("we," "our," or "us"), a company registered in the United Kingdom with company number 12149869.

By accessing or using our platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our platform. If you are using our services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

NextIn provides a platform connecting tech leadership candidates with potential employers. As a UK-registered company serving users in both the UK and US, these Terms have been drafted to comply with the laws of both jurisdictions where applicable.

2. Definitions

In these Terms, the following definitions apply:

• "Platform" means the NextIn website, mobile applications, and related services.
• "User" means any individual who accesses or uses the Platform, whether as a Candidate or Employer.
• "Candidate" means a User who is seeking employment opportunities through the Platform.
• "Employer" means a company or organization that uses the Platform to identify potential candidates for employment.
• "Agent" means a NextIn representative who provides personalized services to Candidates who have selected the Agent Representation service tier.
• "Content" means all information, text, data, graphics, photographs, videos, audio clips, written posts, articles, comments, software, scripts, projects, and other materials that are posted, generated, provided, or otherwise made available through the Platform.
• "User Content" means Content that Users provide to be made available through the Platform, including profile information, resumes/CVs, job listings, and communications.
• "Subscription" means a recurring payment arrangement for access to certain Platform features and services.
• "Services" means all the services provided by NextIn through the Platform, including the Basic, Premium, and Agent Representation service tiers.

3. Account Registration

To access certain features of the Platform, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

3.1 Eligibility

You must be at least 18 years old to use the Platform. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3.2 Account Types

There are two primary types of accounts:

• Candidate Account: For individuals seeking employment opportunities
• Employer Account: For companies seeking to hire tech leadership talent

3.3 Account Verification

We may use various methods to verify your identity and the information you provide. You agree to cooperate with our verification processes, which may include providing additional documentation or information. We reserve the right to suspend or terminate accounts that cannot be verified to our satisfaction.

4. Services

NextIn offers various services to connect tech leadership talent with employment opportunities. The specific features available to you depend on your account type and subscription tier.

4.1 Candidate Services

For Candidates, we offer multiple service tiers:

4.1.1 Basic Platform Access

Includes access to our curated job opportunities, the ability to create a profile, express interest in positions, and communicate with potential employers.

4.1.2 Premium Platform Access

Includes all Basic features plus enhanced visibility, priority access to new opportunities, monthly strategy meetings with an agent, and weekly personalized email outreach.

4.1.3 Agent Representation

Our highest service tier includes personalized representation by a dedicated NextIn agent who actively advocates on your behalf, including weekly strategy meetings, CV review and optimization, daily personalized outreach, and direct pitching to decision-makers.

4.2 Employer Services

For Employers, we offer:

• Access to a curated pool of tech leadership candidates
• Ability to post job opportunities
• Tools to search for and communicate with potential candidates
• Applicant tracking and management features
• Recruitment advisory services

4.3 Service Limitations

While we strive to provide high-quality services, you acknowledge that:

• We do not guarantee employment or hiring outcomes
• We cannot guarantee a specific number of job opportunities or candidates
• The availability of opportunities may vary based on market conditions
• We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time

4.4 Third-Party Services

Our Platform may integrate with or provide links to third-party services. These services are subject to their own terms and conditions, and we are not responsible for the practices of such third parties. Your use of any third-party services is at your own risk.

5. Fees & Payments

Access to certain features of our Platform requires payment of subscription fees or other charges as described on our pricing page.

5.1 Subscription Fees

Subscription fees are charged on a recurring basis (monthly or as otherwise specified) until canceled. By subscribing to a paid service, you authorize us to charge the payment method provided on a recurring basis until you cancel your subscription.

5.2 Free Trials and Promotions

We may offer free trials or promotional discounts for our subscription services. Unless otherwise specified:

• Free trials automatically convert to paid subscriptions after the trial period
• Promotional prices apply only for the specified period, after which standard rates apply
• You are responsible for canceling before the end of the trial or promotional period if you do not wish to be charged

5.3 Payment Processing

We use third-party payment processors to process payments made to us. Your payment information is subject to the privacy policies and terms of service of our payment processors. We do not store your full payment information on our servers.

5.4 Refunds

All subscription payments are non-refundable except where required by law. If you believe you are entitled to a refund, please contact our support team at ryan@nextinglobal.com.

5.5 Price Changes

We reserve the right to adjust pricing for our services at any time. If we change the pricing for a service to which you subscribe, we will provide notice of the change through the Platform or by email at least 30 days before the change takes effect. Your continued use of the service after the price change becomes effective constitutes your acceptance of the new price.

6. User Content

Our Platform allows you to submit, post, and share content, including profile information, resumes/CVs, job listings, messages, and other materials.

6.1 Ownership and License

You retain ownership of your User Content. By posting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with providing and promoting the Platform and our business.

6.2 Content Restrictions

You agree not to post User Content that:

• Is false, misleading, or deceptive
• Infringes any third party's copyright, patent, trademark, trade secret, or other proprietary rights
• Violates any law, regulation, or contractual obligation
• Contains software viruses or any other code designed to interrupt, destroy, or limit the functionality of computer software or hardware
• Is discriminatory, abusive, defamatory, pornographic, or otherwise objectionable

6.3 Content Monitoring

We do not actively monitor User Content but reserve the right to review and remove any User Content that violates these Terms. We encourage users to report inappropriate content by contacting us at ryan@nextinglobal.com.

6.4 Feedback

If you provide feedback about our Platform, you grant us the right to use that feedback without restriction and without compensation to you.

7. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Using the Platform for any illegal purpose or in violation of any laws
• Impersonating another person or entity
• Interfering with or disrupting the Platform or servers or networks connected to the Platform
• Attempting to gain unauthorized access to any portion of the Platform
• Using any robot, spider, scraper, or other automated means to access the Platform
• Collecting or harvesting any personally identifiable information from other users
• Posting false or misleading information about job opportunities or candidate qualifications
• Engaging in discriminatory hiring practices
• Posting duplicate job listings or creating multiple accounts for fraudulent purposes
• Harassing, threatening, or intimidating any other users of the Platform

Violation of these prohibitions may result in termination of your account and legal action, where appropriate.

8. Intellectual Property

8.1 Our Intellectual Property

The Platform and its original content, features, and functionality are owned by NextIn and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform without our prior written consent.

8.2 Trademarks

"NextIn" and all related logos, product and service names, designs, and slogans are trademarks of NextIn or its affiliates. You may not use such marks without our prior written permission.

8.3 Third-Party Intellectual Property

The Platform may contain content provided by third parties. All statements and opinions expressed by these third parties are solely their opinions and we are not responsible or liable for this content.

9. Disclaimers

THE PLATFORM AND ALL CONTENT AND SERVICES PROVIDED THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NEXTIN DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NextIn makes no warranty that:

• The Platform will meet your requirements
• The Platform will be uninterrupted, timely, secure, or error-free
• The results that may be obtained from the use of the Platform will be accurate or reliable
• The quality of any products, services, information, or other material purchased or obtained through the Platform will meet your expectations
• Any errors in the Platform will be corrected

We do not guarantee that you will secure employment or hire any candidates through our Platform. Career and hiring decisions ultimately rest with you and potential employers or candidates.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXTIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Platform
• Any conduct or content of any third party on the Platform
• Any content obtained from the Platform
• Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL NEXTIN'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE PLATFORM DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

11. Term & Termination

11.1 Term

These Terms will remain in full force and effect while you use the Platform or maintain an account with us.

11.2 Termination by You

You may terminate your account at any time by contacting us at support@nextin.com or through the account settings in the Platform. Termination of your account may not immediately cancel your subscription; you must separately cancel any active subscriptions.

11.3 Termination by Us

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Without limiting the foregoing, we may terminate your account if you violate these Terms.

11.4 Effect of Termination

Upon termination of your account:

• Your right to access and use the Platform will immediately cease
• We may delete or archive your User Content
• Any subscriptions will be canceled at the end of the current billing period
• Sections of these Terms that, by their nature, should survive termination will survive termination

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on the Platform and updating the "Last Updated" date at the top of these Terms. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.

If you do not agree to the modified Terms, you must stop using the Platform. We recommend that you review these Terms periodically for any changes.

13. Governing Law

These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of England and Wales, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Platform shall be instituted exclusively in the courts of England and Wales, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and NextIn concerning your use of the Platform.

14.2 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

14.3 Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

14.4 Assignment

You may not assign any of your rights or obligations under these Terms without our prior written consent. We may assign our rights under these Terms without restriction.

14.5 Force Majeure

We will not be liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from any cause beyond our reasonable control, including acts of God, labor disputes, or other industrial disturbances, electrical or power outages, utilities or telecommunications failures, earthquakes, storms, or other elements of nature, blockages, embargoes, riots, acts or orders of government, acts of terrorism, or war.
